1. Agreement to Terms

By accessing or using Geoloods ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Geoloods provides a geocoding API service that allows you to convert addresses into geographic coordinates and perform reverse geocoding operations. The Service is provided on a subscription basis with various pricing tiers.

3. Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Be at least 16 years of age
• Not share your account with others
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. API Keys and Security

Upon registration, you will receive API keys to access the Service. You agree to:

• Keep your API keys confidential and secure
• Not share your API keys publicly or with unauthorized parties
• Regenerate API keys immediately if they are compromised
• Use API keys only for your own applications and services
• Not attempt to circumvent rate limits or usage restrictions

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to transmit malware, viruses, or harmful code
• Scrape, spider, or use automated means to access the Service excessively
• Resell or redistribute the Service without explicit permission
• Reverse engineer or attempt to extract source code from the Service

6. Subscription and Billing

6.1 Subscription Plans

We offer various subscription plans with different usage limits and features. Plan details and pricing are available on our pricing page.

6.2 Billing

• Subscriptions are billed on a monthly basis
• Payment is due at the start of each billing period
• All fees are in Euros (EUR) unless otherwise stated
• Fees are non-refundable except as required by law

6.3 Overage Charges

If you exceed your plan's request limit, overage charges may apply as specified in your plan. You can enable overage protection to prevent unexpected charges.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will not receive a refund for the remaining time in your billing period.

7. Service Level and Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice when possible
• Experience unexpected downtime due to technical issues
• Modify or discontinue features with reasonable notice

We are not liable for any losses or damages resulting from service interruptions or unavailability.

8. Rate Limits

Your usage of the Service is subject to rate limits based on your subscription plan. Rate limits are in place to ensure fair usage and service stability. Exceeding rate limits may result in temporary throttling or service restrictions.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Geoloods and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the data you submit to the Service. By using the Service, you grant us a license to process your data solely for the purpose of providing the Service.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described in the Privacy Policy. By using the Service, you consent to such collection and processing.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors in the Service will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOLOODS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your transmissions or data
• Any other matter relating to the Service

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Geoloods and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Violation of acceptable use policies

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
